2001 By-Laws

ARTICLE I

 

Name

SECTION 1

The name of this organization shall be WALKER FIRE PROTECTION ASSOCIATION.

 

ARTICLE II

Objectives

SECTION 1

The objectives of the Corporation are to form and operate a volunteer community organization to take advantage of benefits and to cooperate with other agencies in providing fire protection and reducing fire hazards in the Walker Community and in the surrounding area. The Walker Fire Protection Association will not respond to hazardous materials fires.

 

ARTICLE III

Membership

SECTION 1

The membership shall consist of any person owning property or residing in the Walker community.

SECTION 2

The organization shall be supported by voluntary contributions from the membership.

 

ARTICLE IV

Officers and Duties

SECTION 1

The officers of the association shall be: President, Vice-President, Secretary and Treasurer.

SECTION 2

The officers shall be elected at a meeting of the new Board called for such purpose after the Annual Meeting and before June 1. That meeting shall be presided over by the senior Board member until a President is elected. Officers elected shall serve for one (1) year unless the board votes to replace them and at least four (4) Board members concur.

 

SECTION 3

The president shall function as the chief officer of the association. He shall supervise the affairs of the association, appoint, subject to approval of the Board of Directors, all committee members and preside at the Board of Director and general membership meetings.

SECTION 4

The vice-president shall assist the president and, in case of absence, incapacity, or resignation of the president, assume the functions of the president.

SECTION 5

The secretary shall attend all sessions of the board and all meetings of the members and act as a clerk thereof, record all votes and the minutes of all proceedings in a book to be kept for that purpose, and shall perform like duties for any committee of the board when required. He shall cause to be given notice of all meetings of members and directors and shall perform such other duties as pertain to his office.  He shall keep in safe custody the seal of the Corporation and when authorized by the Board of Directors, affix it when required to any instrument.  The secretary shall maintain the official set of by-laws and a current list of members.

SECTION 6

The treasurer will receive all voluntary contributions. The treasurer shall have the custody of all the corporate funds and securities and shall keep full and accurate accounts of receipts and disbursements in books belonging to the Corporation. He shall deposit all money and other valuable effects in the name and to the credit of the Corporation in such depositories as may be designated by the Board of Directors. He shall disburse the funds of the Corporation as may be ordered by the Board, taking proper vouchers for such disbursements, and shall render to the President & Directors at the regular meeting of the Board, or whenever they may require it, an account of all transactions as treasurer and of the financial condition of the Corporation.

All funds disbursed by check or EFT (Electronic Funds Transfer) within the budgeted items shall be signed or authorized by either the Treasurer or two (2) Board Members.

There shall be an annual audit of the association’s year-end funds by a committee appointed by the president and approved by the Board of Directors. Such audit shall take place and be reported to the Board of Directors during the first quarter of the fiscal year and the results reported at the next annual membership meeting. The president shall authorize the treasurer to pay any bills of the association up to the amount of five hundred dollars ($500.00). Expenditures of five hundred dollars (S500.00) or more shall be submitted to the Board of Directors for authorization. The president is authorized to make emergency expenditures.

 

SECTION 7

As a condition of appointment, the Board and Fire Chief shall first mutually decide which shall be responsible for procurement and fabrication of equipment and supplies; proper operations, maintenance and care of the fire fighting vehicles, equipment, supplies, buildings and grounds; rescue activities, medical activities, fire department communications; fire fighter training and certification, dispatcher training and certification, and appointment of deputies; the direction of the firefighting activities, and a program to reduce fire hazards. Irrespective of responsibility assignment, the Fire Chief shall be responsible to coordinate all these activities as required. The Fire Chief shall have a voice, but no vote on the board of directors.

 

ARTICLE V
Meetings

SECTION 1

Regular meetings shall be held at a time and place determined by the Board of Directors. Notice of such meetings shall be provided to members at least two (2) weeks in advance of such meetings.

 

SECTION 2

The annual meeting of the association shall be held on Memorial Day weekend of each year, the day, time and location to be decided by the Board of Directors.

SECTION 3

Special meetings of the association may be called by the president or a quorum of the Board of Directors.

SECTION 4

General meetings shall be open to any person residing or owning property in or surrounding the Walker community, Yavapai County.

 

SECTION 5

A quorum shall of those members present at a regularly scheduled meeting, or at a special meeting provided five (5) days notice of such meeting has been given to the membership.

 

 

ARTICLE VI

Board of Directors

 

SECTION 1

The board of directors shall have seven individual voting members. The immediate past president shall be an honorary position. In 2001 four (4) directors shall be elected for two (2) year terms, and one (1) for one (1) year term. In subsequent years all new directors shall he elected for a two (2) term unless the election is to complete the term of office of a replacement director.

SECTION 2

The Board of Directors shall carry out the instructions of the membership meetings and be the governing body of the association between meetings.

SECTION 3

Meetings of the Board of Directors may be called by the president or by a quorum of the Board of Directors. A quorum shall consist of four (4) members of the Board of Directors.

SECTION 4

The Board of Directors shall, by majority vote appoint the fire chief. The Board of Directors by majority vote may appoint a replacement for any board vacancy. The appointee will fill the position for the remainder of the fiscal year.

 

ARTICLE VII
Committees

SECTION 1

The president shall appoint all standing and special committees.

SECTION 2

The president shall be an ex-officio member of all committees except the nominating committee.

 

ARTICLE VIII
Nominating Committee

SECTION I

A nominating committee consisting of five (5) members shall be appointed by the Board of Directors. The nominating committee shall nominate one or more candidates for each elective office, with the consent of the nominees and shall report these nominations to the president in sufficient time to be included in the notice of the annual meeting. The presiding officer shall call for nominations from the floor for all elective offices at the annual meeting.

 

ARTICLE IX
Authority

SECTION 1

The fiscal year of the Corporation shall begin the first day of June and end the 31st day of May each year, unless otherwise provided by the Board of Directors.

 

 

 

 

 

 

ARTICLE X
Parliamentary Authority

SECTION 1

The rules contained in the current edition of Robert's Rules of Order Newly Revised, shall govern the association in all cases to which they are applicable and in which they are not inconsistent with these by­laws and special rules of order that the association may adopt.

 

 

ARTICLE XI

Amendments and Revisions

 

SECTION 1

The by-laws of this association may be revised by a majority vote of the Officers and Board of Directors at any regular or special meeting provided that all Officers and Board members are advised of the proposed changes at least one (1) week in advance of the meeting.
